By accessing or using Xentropy (“we,” “our,” or “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
These Terms apply to all users of the Service, including consumers on Free and Pro plans, and developers accessing the Service via API or agent-based integrations. Separate commercial agreements may supplement these Terms for enterprise users, but nothing in such an agreement overrides these Terms unless explicitly stated.
You must create an account to use the Service. You are responsible for:
You must be at least 16 years old to use the Service. If you are under 16, you may not create an account or use the Service.
You own your data.Any content, files, documents, chat messages, voice memos, notes, and other materials you upload, create, or store in your Xentropy workspace (“Your Content”) remain your property. We do not claim ownership of Your Content.
You grant Xentropy a limited, non-exclusive license to access, use, process, and store Your Content solely to provide, maintain, and improve the Service. This license expires when you delete your account or remove specific content from the Service.
We will not sell Your Content, share it with third parties for their own purposes, or use it to train AI models outside of providing the Service to you. For details on how we process your data, including our use of subprocessors, see our Privacy Policy.
The Service uses artificial intelligence models to power features such as semantic search, chat, summarization, embeddings, and knowledge graph generation. When you use these features, Your Content is sent to our AI subprocessor (OpenAI) for processing.
PII Redaction: Before transmission to our AI subprocessor, personal identifiers such as email addresses, phone numbers, and other PII are automatically redacted from Your Content.
Data Use for Training: We do not use Your Content to train or fine-tune our AI models. Content sent via the API is not retained by the AI subprocessor for training purposes under their zero-retention policy.
A complete list of our data subprocessors is available in our Privacy Policy. The AI features may not be available in all regions or on all plans.
You agree not to use the Service to:
We reserve the right to review, remove, or disable access to any content that violates these Terms, without prior notice.
Xentropy provides APIs that allow programmatic access to the Service. Use of the API is subject to these Terms and any additional API-specific documentation we provide.
Our IP:The Service, including its code, design, branding, trademarks, logos, AI models, algorithms, and underlying technology (“Xentropy IP”), is owned by Xentropy or its licensors. These Terms do not grant you any rights to Xentropy IP except the limited right to use the Service as provided under these Terms.
Your IP: As stated in Section 3, you retain all rights to Your Content. You represent and warrant that Your Content does not infringe any third-party intellectual property rights.
Feedback: If you provide us with suggestions, ideas, or feedback about the Service, you grant us a non-exclusive, perpetual, irrevocable license to use that feedback to improve our products and services without compensation to you.
Plans: The Service is offered on a Free plan and a Pro subscription plan. Features, limits, and pricing are described on our website and may change from time to time with notice.
Merchant of Record:All payments are processed by Polar (“Polar”), our payment processor. Polar acts as the merchant of record for all subscription transactions. By making a payment, you agree to Polar’s terms of service and privacy policy in addition to these Terms.
Billing: Pro subscriptions are billed in advance on a monthly or annual basis, as selected during checkout. Subscription fees are non-refundable except as required by applicable law.
Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time from your account settings.
Taxes: You are responsible for all applicable taxes, duties, and fees associated with your subscription. Polar may calculate and collect taxes where required by law.
Price Changes:We may change subscription fees with 30 days’ notice. Price changes take effect at the start of the next billing period.
By You: You may delete your account at any time from the Settings page. Account deletion is irreversible and triggers the permanent removal of all Your Content, including workspace data, AI usage records, and stored files.
By Us: We may suspend or terminate your access to the Service if:
We will make reasonable efforts to notify you before suspension or termination, unless we believe immediate action is necessary to prevent harm or comply with law. Upon termination, your right to use the Service ceases immediately, and we may delete Your Content after a reasonable period.
Sections of these Terms that by their nature should survive termination (including IP ownership, limitation of liability, governing law, and dispute resolution) will survive.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, XENTROPY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. AI FEATURES MAY PRODUCE INACCURATE OR UNEXPECTED RESULTS — YOU SHOULD NOT RELY ON AI-GENERATED CONTENT AS FACTUAL OR PROFESSIONAL ADVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER XENTROPY NOR ITS OFFICERS, EMPLOYEES, OR AFFILIATES SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Informal Resolution: Before filing any claim, you agree to contact us at support@xentropy.ai and attempt to resolve the dispute informally for 30 days.
Arbitration:If the dispute cannot be resolved informally, you agree to resolve it through binding individual arbitration in accordance with the American Arbitration Association’s rules. You may opt out of this arbitration provision by notifying us within 30 days of accepting these Terms.
Class Action Waiver: All claims must be brought in your individual capacity and not as a plaintiff or class member in any class, consolidated, or representative action.
We may update these Terms from time to time. We will notify you of material changes by email (to the address associated with your account) and by posting the updated Terms on this page. Changes become effective 30 days after posting. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
If you do not agree to the updated Terms, you may delete your account before the effective date.
